Tutorax Service agreement

Tutorax is a private company specialized in personalized education, aiming to meet the specific needs of each student.

Following a mutual agreement between the Tutor and Tutorax, both parties agree to the following terms:

1. Services

  1. The Tutor will provide the student with tutoring sessions on the subject, at the frequency and location agreed upon by both parties.

  2. The services will be rendered by the Tutor designated on this page of the contract.

2. Tutorax’s Commitment

  1. Tutorax commits to providing support to the Tutor in case of any difficulties or questions.

  2. Tutorax commits to keeping all information regarding the Tutor confidential, except for their name, email address, and phone number, which may be shared with the students under the Tutor’s responsibility and their parents.

  3. Tutorax cannot be held responsible for any damages caused by the Tutor, the student, or the student’s parents. Such damages include, but are not limited to, consequences resulting from misconduct or violation of the law.

3. Tutor’s Commitment

  1. The Tutor commits to arriving prepared for tutoring sessions. This includes reviewing the material and preparing the tutoring sessions in advance.

     

  2. The Tutor commits to acting professionally at all times. This includes tutoring sessions as well as all verbal or written communications with the student, the parent, and Tutorax.

     

  3. The Tutor commits to recording the date and duration of each session on their online portal immediately after the session, accurately entering all required information, within a maximum of 48 hours. Failure to follow these instructions will result in the session not being billed correctly to the client, and the Tutor will not be paid for that session. In case a session is accidentally omitted from the portal, the Tutor must immediately contact Tutorax to report the situation.

     

  4. The Tutor confirms having no criminal record and commits to immediately informing Tutorax if they have or acquire a criminal record at any time during their engagement with Tutorax.

4. Client Poaching

  1. The Tutor agrees, for the entire duration of their contract and even after its termination, regardless of the cause and/or conditions, to refrain from:

     

    • Accepting money (other than a tip) from a student or a parent of a Tutorax student;
    • Poaching clients*.

Please note that any client poaching* will be brought before the courts of the judicial district of Montreal. In case of non-compliance, the Tutor will automatically owe Tutorax a fixed amount currently set at $5,000 to cover legal fees.

*Client poaching: The Tutor offers or agrees to conduct sessions independently (without billing the client through the Tutorax platform) with a client whose contact information was obtained through Tutorax.

5. Cancellations and Delays

  1. If the Tutor needs to cancel a tutoring session, they must provide the student with at least 24 hours’ notice. The Tutor and student must then agree on a replacement session.

  2. If the Tutor is late, they must compensate for the delay by extending the session for an amount of time equal to the delay.

  3. If the student requests to reschedule a session to an earlier or later time on the same day, the change will not be considered a cancellation within 24 hours, provided the Tutor agrees to the student’s request.

  4. The student may choose whether they want sessions of a fixed duration or a variable duration depending on their workload. The chosen duration must be respected by the Tutor.

6. Duration and Termination

  1. The contract comes into effect on the date it is signed by the parties.

     

  2. This contract may be terminated by Tutorax at any time.

     

  3.          a. Within 10 days following the end of the school year for elementary and high school students.

             b. Within 10 days following the end of the semester for college/university students.

    A Tutor’s engagement comes into effect when the Tutor accepts a tutoring offer and may be terminated during the following periods:

    *WARNING: Failure to comply with this rule will result in a penalty.

  4. If the Tutor terminates their engagement, they agree to continue tutoring sessions for a period of 14 days following the termination date.

7. Fees

  1. The Tutor will not receive any additional fees for travel, parking, or time spent preparing the sessions.

  2. The Tutor will be paid on a monthly basis and must have a minimum amount of $50
    *In the event of termination, any amount less than $50 will be paid with the next monthly payment.

 

8. Independent Contractor

  1. It is understood that the Tutor engages the services of Tutorax as an independent contractor and not as an employee.

9. General Provisions

  1. This contract is governed by and interpreted in accordance with the laws of the Province of Quebec and Canada. Any dispute between the parties regarding the interpretation or application of the contract that cannot be resolved amicably will be brought before the courts of the judicial district of Montreal

  2. The contract constitutes the entire and complete agreement between Tutorax and the Tutor, excluding any other document, contract, or verbal promise.

  3. The parties declare that they have carefully read this contract and understand the scope of all its terms.

  4. The parties agree that the contract may be transmitted by fax, email, or any other similar forms of communication. The parties also agree that a photograph of the contract shall be treated as an original. Furthermore, signatures duplicated by fax, electronic signatures, or similar authentication methods shall be treated as originals.

10. Non-Compete

1. Given the Tutor’s role, which provides access to information and data related to the operation of Tutorax and its clients, the Tutor agrees, for the entire duration of their contract and even after its termination, regardless of the cause and/or conditions, to:

      • Refrain from directly or indirectly creating, or acquiring a majority stake in, a business engaged in activities that compete with or are similar to those of Tutorax where they currently serve as a Tutor.

2. The following activities are considered to be in competition with or similar to those of Tutorax:

      • Tutoring, homework help, exam preparation, and summer courses.

 

3. This restriction must be observed by the Tutor for a period of 12 months.

4. This restriction must be observed by the Tutor within the following geographic area: the cities of Montreal and Quebec City.

 

5. Please note that any breach of the non-competition clause will be brought before the courts of the judicial district of Montreal. In the event the Tutor violates this restriction, in whole or in part, the Tutor will automatically owe Tutorax a fixed amount currently set at $5,000 to cover legal fees.
